Term. Your Premier Membership lasts one year from the date you purchase it.

AUTOMATIC RENEWAL. YOUR PREMIER MEMBERSHIP RENEWS AUTOMATICALLY EACH YEAR. ON EACH ANNIVERSARY OF YOUR PURCHASE DATE, WE WILL CHARGE THE PAYMENT METHOD ON YOUR ACCOUNT THE MEMBERSHIP PRICE THEN IN EFFECT FOR ANOTHER ONE YEAR TERM, UNLESS YOU CANCEL BEFORE THAT DATE. SECTION 4 EXPLAINS HOW TO CANCEL.

Price changes. If we change the Premier price, we will email you at least 30 days before the new price takes effect. A new price applies only at your next renewal, so you can cancel first if you do not agree.

Your consent. By checking the acceptance box and completing your purchase, you agree to the price, the one year term, and the automatic renewal described in this section.

4. Cancelling, refunds, and ending a membership

How to cancel. You may cancel at any time. Email josh@scbfireworks.com from the email address on your account, or use the Cancel Membership link on your account page. To avoid the next renewal charge, cancel before your renewal date.

What happens when you cancel. Your Premier Membership stays active until the end of the year you have paid for. It then ends and does not renew. We do not refund the fee for the current year, except as stated below.

Refunds. Membership fees are not refundable, with two exceptions:

  • Three day window. You may request a refund of your membership fee by emailing us within 3 days after your first purchase of a Premier Membership or after any renewal charge. The refund is available only if you have not used the membership for a purchase since that charge.
  • If we end your membership without cause. See below.

When we may end your membership. We may suspend or end your membership for cause, with no refund. Cause includes nonpayment, violating this agreement or our Terms of Service, fraud, and abuse of member discounts, such as buying for resale. If we end a paid membership for any other reason, we will refund a prorated share of your fee for the unused part of your year.

5. Payments, returned payments, and late fees

Payment. You authorize us to charge your payment method for the membership fee and for each renewal. Keep the payment information on your account current.

Returned payment charge. If a payment is returned or dishonored, we may charge a service charge of $25 plus the amount our bank charges us, where Missouri law applies, or $30, where Kansas law applies.

Late fee. If your account is past due, we may charge a late fee of $20.

Suspension. We may suspend your membership benefits until any amount you owe is paid.

Collection costs. To the extent the law allows, you agree to pay the reasonable costs we incur to collect a past due amount, including collection agency fees and reasonable attorney fees.

Billing questions. If you believe a charge is wrong, tell us in writing within 120 days of the charge.

This section applies to members and to approved wholesale buyers.

6. Member responsibilities and wholesale purchases

Your responsibilities. You agree to:

  • Give us accurate information and keep it current;
  • Keep your account password confidential;
  • Use your membership and member discounts for personal use only, and not for resale;
  • Follow our Terms of Service and Acceptable Use Policy;
  • Follow all federal, state, and local laws when you buy, transport, store, and use fireworks.

Wholesale purchases. Buying fireworks from us for resale is separate from membership and requires our approval.

  • How to apply. Give us your current state fireworks license or permit and your current retail sales tax license.
  • Our decision. We review those documents and may approve, decline, or withdraw approval at our discretion.
  • Records. We keep a record of each approval and of the documents you give us.
  • One year approval. Approval lasts one year. To keep buying at wholesale, you must give us current documents each year.
  • Your obligations. As an approved wholesale buyer, you are solely responsible for your own licenses and permits, for collecting and paying taxes on your sales, for complying with all fireworks laws, and for how you store, sell, and deliver the products you resell.
  • Your customers. We have no relationship with your customers. You are responsible for claims that arise from your resale of our products, and you agree to indemnify and hold SCB harmless from those claims, to the extent the law allows.

7. Safety, warranties, liability, and indemnification

Safety and legal compliance. You are responsible for reading and following the warnings and instructions on every product, and for making sure your use of fireworks complies with the law where you live. Section 6 of our Terms of Service, on product safety, applies to you.

The membership program. We provide the membership program and its benefits as described in this agreement. We do not promise that any particular product, promotion, or discount will always be available.

Products purchased in Missouri. EXCEPT FOR OUR NO DUD GUARANTEE, AND TO THE EXTENT MISSOURI LAW ALLOWS, WE DISCLAIM ALL IMPLIED WARRANTIES FOR PRODUCTS, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.

Products purchased in Kansas. If your purchase is a consumer transaction governed by Kansas law, we do not exclude or limit the implied warranties of merchantability or fitness for a particular purpose, and we do not limit the remedies Kansas law gives you for a breach of those warranties.

Limitation of liability. To the extent the law allows, we are not liable for indirect, incidental, special, or consequential damages arising from your membership, and our total liability arising from your membership is limited to the membership fees you paid in the 12 months before the claim. These limits do not apply where the law does not allow them, including to the Kansas warranty remedies described above.

Indemnification. To the extent the law allows, you agree to indemnify and hold harmless SCB and its owners, employees, and agents from claims that arise from your misuse of products you purchased, your violation of any law, or your violation of this agreement.

8. Governing law, disputes, and general terms

Governing law. This agreement is governed by the laws of the State of Missouri. If you are a Kansas consumer, you keep the protections of Kansas consumer law that cannot be waived.

Disputes. If you have a dispute with us, contact us first so we can try to resolve it informally. If we cannot resolve it, the dispute will go to mediation. If mediation fails, the dispute will be resolved through binding arbitration in Kansas City, Missouri under the rules of the American Arbitration Association.

Groundless claims. To the extent the law allows, if a court or arbitrator finds that a party brought or continued a claim it knew to be groundless, that party will pay the reasonable attorney fees and costs the other party spent defending the claim. Otherwise each party pays its own attorney fees, unless a law provides differently.

Changes to this agreement. We may update this agreement. We will post the updated agreement on our website with a new effective date. If a change materially affects a paid membership, we will email you at least 30 days before it takes effect.

Events outside our control. Neither party is liable for a delay or failure caused by events outside its reasonable control, such as natural disasters, public emergencies, or government actions.

Notices. We will send notices to the email address on your account. Keep it current. Send notices to us at the contact details in Section 9.

Severability. If any part of this agreement is found unenforceable, the rest remains in effect.

Entire agreement. This agreement, our Terms of Service, and our Privacy Policy are the entire agreement between you and SCB about your membership.
